SeniorLife Technologies Inc. a US corporation (the “Seller” or the “Company”) and the party that is agreeing to purchase license to the Company’s software (the “Buyer“) agree to the following terms. Collectively they will be referred to as the Parties.
The Buyer unequivocally agrees to the following terms.
The Buyer has agreed to purchase licenses to use the software developed by the Company (the “Software” ) that will be operated by the staff of the Buyer at a location of its own choosing. The Software is generally intended to assess mobility health of older adults, and it is not meant to be used by the older adults or unauthorized persons.
The Software available to the Buyer will as per the terms described in the purchase summary sent to the registered email address of the Buyer (the “Purchase Summary“). They may include among other things
The Purchase Summary will contain the payment amount and terms. Typically it will include
PURCHASE DATE — Date of purchase of the software license
The Buyer can purchase additional licenses at any time, but the license will be effective from the first of the following month. As an example – a purchase of additional license(s) during the month of July will become effective on August 1st.
The Seller can cancel at any time with one month’s notice. As an example – a notice to cancel anytime during the month of July will become effective on August 31st.
Existing valid licenses will be automatically renewed for an additional 12 months term unless the Buyer decides to cancel such license. The Buyer will get a reminder email 2 weeks prior reminding about the renewal prior to such renewal.
This Agreement will be governed by the laws of the State of Delaware (USA) and to the extent required the laws of Undersigned’s domicile jurisdiction. In case of a conflict, Parties must attempt to resolve it first at an arbitration court.
The Parties acknowledge that any previous agreements between the Parties or with a related party in any form or shape will have no effect or bearings on this agreement. Any other agreement between the Parties signed at the same time or after the date of this agreement will be considered an independent and separate agreement.
The Buyer acknowledges that the Software belongs to the Company, and that the Company is not transferring any intellectual property rights by virtue of this agreement to the Buyer.
